Welcome to Apaxhost. These Terms and Conditions (“Agreement”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“User,” “You,” or “Your”), and APEX DIGITAL GROUP LTD, trading as Apaxhost (“Company,” “We,” “Us,” or “Our”), a company registered in the United Kingdom under Company Number 17327265.

By accessing or using our domain registration, web hosting, or related digital services (collectively, the “Services”), you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, you are expressly prohibited from using our Services.

1. SERVICES AND ACCOUNT ELIGIBILITY

1.1. Account Creation: You must provide accurate, current, and complete details during registration. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. 1.2. Service Modifications: The Company reserves the right, at its sole discretion, to modify, suspend, or discontinue any aspect of the Services, infrastructure configurations, or software provisions at any time, without prior notice or liability to you.

2. BILLING, RENEWALS, AND PRICING

2.1. Flat-Rate Renewal Structure: While the Company strives to offer predictable, honest flat-rate renewal configurations based on original plan agreements, we reserve the right to alter standard base pricing tiers, add-on costs, or processing fees upon 30 days’ notice. 2.2. Automatic Renewals: All hosting and domain services are configured to renew automatically to prevent service disruption. You authorize the Company to bill your registered payment method automatically upon renewal. 2.3. Late Payments and Cancellations: If payment is not successfully processed by the invoice due date, the Company reserves the immediate right to suspend your services. If an invoice remains unpaid for 7 days past due, the Company reserves the absolute right to permanently terminate the service and securely purge all associated data, databases, and configuration settings without liability for data loss.

3. ACCEPATABLE USE POLICY (AUP)

You agree not to use the Services to host, distribute, or transmit any content or engage in activities that:

• Violate any local, national, or international laws or regulations.

• Infringe upon the intellectual property or privacy rights of any third party.

• Deploy phishing schemes, malware, viruses, trojans, or malicious scripts.

• Engage in deceptive practices, cryptocurrency mining, or resource abuse that degrades infrastructure performance for other clients.

• Involve bulk unsolicited emailing (SPAM). Any account discovered distributing SPAM will face immediate, permanent termination without refund.

4. LIMITATION OF LIABILITY AND INDEMNIFICATION

4.1. No Liability for Loss: To the maximum extent permitted by applicable law, APEX DIGITAL GROUP LTD, its directors, employees, or agents shall not be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages. This includes, without limitation, lost profit, lost revenue, loss of business reputation, or loss of data arising from your use of, or inability to use, the Services. 4.2. As-Is Provision: All services are provided on an “As-Is” and “As-Available” basis. The Company explicitly disclaims all warranties of any kind, whether express or implied. 4.3. Indemnification: You agree to defend, indemnify, and hold the Company harmless from and against any loss, damage, liability, claim, or demand, including reasonable legal fees, made by any third party due to or arising out of your content, your misuse of the Services, or your breach of this Agreement.

5. BACKUPS AND DATA RETENTION

5.1. User Responsibility: While the Company may deploy internal server-side snapshot routines or backup architectures for disaster recovery infrastructure preservation, you maintain ultimate, sole responsibility for generating and securely downloading independent off-site backups of your websites, applications, and databases. 5.2. No Data Recovery Warranties: The Company provides no guarantees regarding the availability, completion, accuracy, or integrity of automated backup states and cannot be held liable for any failed data restore processes or corrupted files.
